Terms & Conditions
Effective date: 28 August 2025
These Terms govern your access to and use of services offered by Asaba Business Community ("ABC", "we", "us"). By using our site, booking a stall, or registering for services, you agree to these terms.
1. Scope
These Terms apply to all users of our website and attendees or vendors participating in our events and programs. Additional, event-specific rules or agreements may apply to particular events or partnership arrangements.
2. Services we provide
ABC organises market days, annual vendor expos, training programs, mentorship clinics, and partnership initiatives. We may provide vendor listings, promotional support, and matchmaking to buyers and partners.
3. Bookings & Payments
- How to book: Bookings are made via the site’s Join/Get Stall flow, or via the contact form. Bookings are confirmed once payment is received and we send confirmation.
- Payment methods: We accept bank transfers and POS at event setup. Payment instructions appear on the invoice. All fees are quoted in Nigerian Naira unless otherwise stated.
- Invoices: We will issue receipts/invoices for paid bookings. You must provide accurate billing information.
4. Cancellations & Refunds
Our general refund policy (exceptions may apply for special events):
- Full refund if cancellation is requested at least 30 days before the event start date (less any admin fees).
- 50% refund if cancellation is between 7 and 30 days before the event.
- No refunds for cancellations made within 7 days of the event except in exceptional circumstances determined by ABC.
To cancel a booking, email hello@asababusinesscommunity.com with your booking reference and reason for cancellation. Refunds are processed using original payment method and may take up to 14 working days.
5. Vendor responsibilities & event conduct
- Vendors must comply with ABC’s vendor code of conduct and health & safety rules during events.
- Set-up/tear-down times must be adhered to; vendors are responsible for their own stock and stall security.
- Vendors are responsible for any licences, permits or local regulatory requirements relevant to their activities.
- ABC reserves the right to remove vendors from events for unsafe or unlawful activities without refund.
6. Intellectual property
All site content, branding, logos, images (owned by ABC) are protected by copyright. Vendors grant ABC a non-exclusive, royalty-free licence to use vendor-provided images or testimonials for promotional purposes unless otherwise agreed.
7. User content & testimonials
When you submit content (e.g., images, reviews), you confirm you own the content or have the right to grant ABC permission to use it. ABC may moderate or remove user content that violates our policies.
8. Disclaimers & limitation of liability
To the fullest extent permitted by law, ABC is not liable for indirect or consequential losses, loss of profit, or business interruption arising from use of our services. Our total liability for direct losses will be limited to the amount paid for the relevant service or stall fee. Nothing in these Terms attempts to exclude liability for death or personal injury caused by negligence where prohibited by law.
9. Indemnity
You agree to indemnify and hold ABC harmless from claims, damages, losses, liabilities or expenses (including legal fees) arising from your breach of these Terms, negligence, or unlawful acts.
10. Privacy
Our Privacy Policy (available at /privacy.html) explains how we collect, use, and protect your personal data. By using our services you agree to our data practices described in the Privacy Policy.
11. Changes to these Terms
We may modify these Terms from time to time. Material changes will be communicated through the website or email where appropriate. Continued use of our services after changes indicates acceptance of the updated Terms.
12. Governing law & dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. For disputes we will first seek amicable resolution by negotiation. If unresolved, disputes may be referred to the courts of Delta State (Asaba) or another agreed dispute mechanism.
13. Notices
All legal notices to ABC should be sent to: info@asababusinesscommunity.com or by post to 12 Ukpaba Road, Asaba, Delta State, Nigeria. ABC may send notices to the contact details you provided at registration.
14. Termination
ABC reserves the right to suspend or terminate access to services for breach of these Terms, unlawful activities, or safety concerns. Termination does not affect accrued rights or liabilities.
